NUSANTARA INFRASTRUCTURE ENTERS THE TELECOMMUNICATION TOWER BUSINESS
Strengthen the position of the Leading Infrastructure Company
As part of the vision of being a well-known infrastructure company in Indonesia,
on 17th 2013 PT Nusantara Infrastructure announced their newest corporation action in
acquiring the majority of the stock in PT Tara Cell Intrabuana ("TowerCo") for IDR 598 billion
through the subsidiary company, PT Telekom Infranusantara ("TI") to continue to show their
commitment to expand their business into the telecommunication tower business and other linked sectors.
TowerCo is an independent Indonesian telecommunication tower company that has an operates tower
along with ither supporting facilities in Sumatera, Java, and Batam.
The acquisition of TowerCo expands our company's area to several sectors with the incredible potential
and prospect of further growth, considering the low cellular penetration in Indonesia (17 percent in 2012)
compared to other expanding countries (66 percent for Malaysia and 74 percent for Singapore in the same year).
It is estimated that the traffic will exponentially grow to 66 percent between 2012-2017,
due to data streaming and the virtual data requirements in cloud through Smartphone or other devices.

THE ACQUISITION OF PT INTISENTOSA ALAMBAHTERA
Nusantara Infrastructure Enters the Sea Port Sector.
2012 became one of Nusantara Infrastructure's golden years.
Not only did the Company drastically improve financial performance, they also made
significant progress to further expand the portfolio of the Company, as mentioned in
the strategy statement from the previous years. It includes the acquisition of a strategic
seaport in Lampung by acquiring 39 percent shares in PT Intisentosa Alambahtera.
Located in such a strategic position in the middle of the Sunda Straits, the port that ISAB
holds has become an important point on the flow of trade between Europe, India, and Africa.
This port is also crucial for the flow of commodities originating from Kalimantan.
With a quay length of 300m, and 11,200m2 of storage area/warehousing facilities which can
accommodate up to 60,000 MT of dry bulk cargo and 40,000 MT bags, this port is one of the most important
for bulks commodities in Indonesia. Besides being equipped with storage tanks for liquid bulk with
capacity of 15,000 MT, this port currently serves a diverse industrial clientele dealing with
chemicals, commodities and fertilizers.
PT POTUM MUNDI INFRANUSANTARA ACQUIRES PT DAIN CELICANI CEMERLANG
PT Potum Mundi Infranusantara also signed an agreement with PT Dain Celicani Cemerlang (DCC)
on 25th October, 2012. The agreement converts the loan from Potum to DCC into equity equivalent
to 51 percent of its shares. DCC is a company which has a concession to build and also manages
an installation in Medan Industrial Estate (KIM), Medan-North Sumatera.
PT ENERGI INFRANUSANTARA WILL ACQUIRE 45 PERCENT OF PT INPOLA MEKA ENERGI (IME)
PT Energi Infranusantara (EI), another subsidiary company of NI, executed a Share
Subscription Agreement with PT Inpola Meka Energi (IME) on 12th October, 2012, whereby EI take 45 percent
of the shares. IME focuses on developing the Mini Hydro Power Plant in Lau Gunung, Tanah Pinem district,
Dairi region and North Sumatera province. The installed capacity plans to reach 10 MW
PPA obtained as per 28th in supplying energy to Sumatera's customers through their grid.
The power comes from a run off river, turning a 5.56 m3 per second flow rate into approximately 86
million KW per hour in a year. This renewable energy power plant has been registered to the United Nations
Framework Convention on Climate Change (UNFCCC) for carbon reduction program, which produced a result
in CO2 reduction of 50,000 tons per year. IME has become the Company's martyr into the Clean Energy Sector,
adding value and bringing synergy to its existing portfolio. IME will also be tasked with managing risks
in the partnership with PT PP (Persero), a state owned enterprise to engage in the construction
and investment business.
PT POTUM MUNDI INFRANUSANTARA ACQUIRES PT TIRTA BANGUN NUSANTARA
PT Potum Mundi Infranusantara (Potum), Nusantara infrastructure's subsidiary company, executed an
acquisition of PT Tirta Bangun Nusantara (TBN) with the purchase of 51 percent shares.
This acquisition represents the Company's expansion and commitment into the drinking water supply sector
and waste/solid waste treatment operation, aiming to deliver a high quality service drinking water
through good corporate governance that relies on excellence, professionalism, competitiveness,
social responsibility and caring for the environment.
TBN agreed on a Conditional Slae and Purchase Agreement on 31st Nusantara, which stated that TBN
has agreed to acquire a part ownership of PT Tirta Kencana Cahaya Mandiri (TKCM) which operates the
Cikokol Water Treatment Plants, supplying high quality water to the people of the Tangerang Regency
through the municipal water Company, PDAM Tirta Kerta Raharja. In addition to municipal water
companies (PDAM), TBN also offers its services to the industrial sectors, which are industrial
estates, residential complexes, and commercial super blocks.
