EGMS: Restructuring of PT Margautama Nusantara as Parent Company in the field of Toll Road

In Toll Road sector, Nusantara Infrastructure’s portfolio including Bintaro – Serpong toll road, Port Makassar toll road, section IV of Makassar toll road, and section Lingkar Barat 1 Kebon Jeruk – Penjaringan toll road. Nusantara Infrastructure has a number of subsidiary companies to manage the toll roads, consisting of PT Bintaro Serpong Damai (BSD), PT Margautama Nusantara (MUN), PT Jakarta Lingkar Baratsatu (JLB), PT Bosowa Marga Nusantara (BMN) and PT Jalan Tol Seksi Empat (JTSE).
Nusantara Infrastructure also continued to encourage the optimal synergies and performance by conducting any corporate actions. Accordingly, on the occasion of EGMS (Extraordinary General Meeting of Shareholders), Nusantara Infrastructure received approval from the shareholders to make MUN as a parent company of Nusantara Infrastructure’s subsidiaries engaged in toll road management. The restructurisation was carried out by transferring the Company’s asset in the form of the Company’s entire shares in PT Bintaro Serpong Damai (BSD) and PT Bosowa Marga Nusantara (BMN) to PT Margautama Nusantara (MUN) which is a subsidiary with 99.97% of its shares are owned by the Company.
"This corporate action is projected to make a positive contribution to the Company, which will automatically support the Company in developing its business," said M. Ramdani Basri, Director of Nusantara Infrastructure. With this restructurisation, NI will be more efficient than before. According to the un-audited data, Nusantara Infrastructure's revenue in 2012 increased of more than 15%, as well as its net profit recorded in the same year.
The traffic volume and revenue in toll road sector is constantly increasing; for example on a 7.25 km Bintaro-Serpong road, the traffic volume that through this toll road reaches of 28,998,815 vehicles per year or average of 79,232 vehicles per day, in 2012. This volume is expected to increase by 9.2% (CAGR, Compound Annual Growth Rate) in 2010-2015. While in the toll road connects Port Soekarno-Hatta Port with the western end of Makassar, that is managed by PT Bosowa Marga Nusantara, recorded that traffic volume in 2012 was 17,670,442 vehicles per year, or average of 48,280 vehicles per day. It is estimated that the volume will increase by 11.2% (CAGR) in 2010-2015. Meanwhile, Jalan Tol Seksi Empat (JTSE) which 97.4% of shares owned by PT BMN, recorded that the volume of vehicles passing in 2012 as 11,240,302 or average of 30,711 vehicles per day. On the Jakarta Outer Ring Road (JORR) section Kebon Jeruk toll road managed by PT Jakarta Lingkar Baratsatu (JLB) - 25% of shares owned by PT Margautama Nusantara (MUN) - with concessions on 9.7 km is recorded as 20,344,461 vehicles per year or average of 55,586 vehicles per day. It is expected to increase by 24.7% (CAGR) in 2010-2015.
"The condition illustrates an interesting prospect in the toll road sector. The optimal performance of Nusantara Infrastructure in this sector is expected to have a positive impact for the realization of development of other sectors, including port, water, and a renewable energy," said Bernardus Djonoputro, Managing Director of Nusantara Infrastructure. This is in line with Nusantara Infrastructure's mission to be consistent in the efforts to business development in the infrastructure sector outside of the toll road.
